This Vendor Agreement (“Agreement”) is entered into between the vendor (“you”, “your”, “seller”) and Sabar Mart (“we”, “us”, “our”), an online multi-vendor marketplace operating in India. This Agreement sets forth the terms under which vendors can list, sell, and manage their products on https://sabarmart.com.
By registering as a vendor on Sabar Mart, you agree to abide by this Agreement and all applicable laws and policies.
1. Vendor Eligibility
To sell on Sabar Mart, you must:
- Be an Indian citizen or registered Indian business
- Hold a valid GSTIN, PAN, and bank account in India
- Be capable of fulfilling orders within India
- Provide all required onboarding documentation (KYC)
2. Vendor Responsibilities
You agree to:
- List accurate, lawful, and non-infringing products
- Set correct pricing, inclusive of GST
- Maintain sufficient stock and update inventory regularly
- Dispatch orders within the committed timeline
- Generate valid GST invoices for each order
- Honor return, refund, and cancellation policies
- Comply with applicable Indian laws including the Consumer Protection (E-Commerce) Rules, 2020
3. Product Listings
You are responsible for:
- Uploading correct product images, descriptions, specifications, and pricing
- Ensuring your products do not violate intellectual property or trademark rights
- Updating listings promptly if stock, pricing, or compliance changes
Sabar Mart reserves the right to approve, modify, or remove any product listings that violate platform or legal standards.
4. Order Management & Fulfillment
- You must process and dispatch orders within 24-48 hours of order confirmation
- You are responsible for packaging and shipping unless using a platform-assigned logistics partner
- Shipping updates must be provided through the vendor dashboard
- You must ensure timely and safe delivery to customers
5. Commissions & Payouts
- A commission (percentage-based or fixed) is charged on every successful sale
- Payouts will be made to your registered bank account on a weekly or bi-weekly cycle
- All commissions are exclusive of applicable taxes
- Tax Deducted at Source (TDS) and Tax Collected at Source (TCS) shall apply as per Indian tax laws
You will have access to a vendor dashboard to monitor your earnings and payout status.
6. Returns, Refunds & Cancellations
- You must accept returns and issue refunds as per our Return & Refund Policy
- If the customer raises a return request and it meets platform criteria, you are obligated to process it
- In case of product damage, defect, or incorrect item delivery, full refund or replacement is mandatory
- Repeated failure to honor returns may lead to penalties or suspension
7. Taxes & Invoicing
- You must include applicable GST in your product pricing
- Each order must be accompanied by a GST-compliant tax invoice
Sabar Mart will collect and deposit TCS (1%) as per Section 52 of the CGST Act(if applicable)- You are solely responsible for filing your GST returns and complying with tax obligations
8. Prohibited Products
You may not list or sell:
- Counterfeit or imitation goods
- Weapons, drugs, and hazardous items
- Items banned under Indian law
- Adult or obscene content
- Products that infringe intellectual property rights
Violation will result in immediate account suspension and legal action if applicable.
9. Intellectual Property & Branding
- You grant Sabar Mart a non-exclusive right to use your product images and descriptions for marketing
- You must not use Sabar Mart’s brand name or logo without prior written consent
10. Termination of Vendor Account
We may suspend or terminate your account without notice if:
- You breach any clause of this agreement
- You receive repeated customer complaints or returns
- You are found violating any applicable Indian laws or platform policies
You may also choose to voluntarily close your vendor account by submitting a written request.
11. Limitation of Liability
Sabar Mart shall not be liable for:
- Vendor’s failure to fulfill orders
- Quality or authenticity of the vendor’s products
- Any loss of data, revenue, or business opportunity
Our role is limited to providing the online platform and facilitating transactions.
12. Dispute Resolution
All disputes shall be resolved first through mutual negotiation. If unresolved, disputes shall be subject to arbitration under the Indian Arbitration and Conciliation Act, 1996. Jurisdiction: Idar, Gujarat
13. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of India.
